1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the Opytech Ltd website and software products, including the cTrader to MetaTrader Bridge (“Software”). By accessing our website or using our Software, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the website or use our Software.

2. Intellectual Property

The Opytech Ltd website, Software, and all related content, features, and functionality (including but not limited to all information, software, text, displays, images, and code) are owned by Opytech Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2.1 License

When you purchase our Software, you are granted a non-exclusive, non-transferable license to use the Software in accordance with these Terms. This license does not give you any right to:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove any proprietary notices or labels on the Software
• Transfer, sublicense, rent, lease, or sell the Software
• Use the Software for any illegal or unauthorized purpose

2.2 License Term

Your license to use the Software is perpetual, provided that you comply with these Terms. However, technical support is limited to the first 6 months following your purchase, as detailed in Section 4.

3. User Accounts

To purchase and use our Software, you may need to create a user account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update account information
• Protect your password and not share it with others
• Notify us immediately of any unauthorized access to your account

We reserve the right to terminate or suspend your account at our discretion, without notice, particularly if we suspect any violations of these Terms.

4. Product Terms

4.1 Software Description

The cTrader to MetaTrader Bridge is designed to facilitate the mirroring of trades between cTrader and MetaTrader 5 platforms. The Software operates locally on your computer and requires API access to both trading platforms.

4.2 Technical Requirements

To use the Software, you need:

• A compatible operating system (Windows 10 or later)
• Access to cTrader and MetaTrader 5 platforms
• Proper API credentials for both platforms
• Stable internet connection

4.3 Support and Updates

Your purchase includes:

• 6 months of technical support from the date of purchase
• Bug fixes and maintenance updates during the support period
• Setup assistance and guidance for non-technical users

After the initial 6-month period, continued support may be available for an additional fee.

4.4 Use Limitations

The Software is licensed for use on a single computer. Additional licenses must be purchased for use on multiple computers. You are responsible for ensuring that your use of the Software complies with your broker’s terms of service and any applicable trading regulations.

5. Payment Terms

Our Software is available for a one-time payment as indicated on our website. All prices are in US Dollars (USD) unless otherwise specified. We accept payment via credit/debit cards, PayPal, and other specified payment methods.

By making a purchase, you represent and warrant that:

• The payment information you provide is accurate and complete
• You are authorized to use the payment method
• You acknowledge that the payment is for a digital product

We reserve the right to change our prices at any time, but such changes will not affect purchases already completed.

6. Refund Policy

Exception – Functionality Guarantee

We offer a full refund only if the Software does not perform its core functionality as advertised. This means if the Software fails to mirror trades between cTrader and MetaTrader 5 platforms as described in our product specifications.

To request a refund under this exception:

• Submit your request within 14 days of purchase
• Provide a detailed explanation of the functionality issue
• Allow our technical team to verify the issue

Approved refunds will be processed within 5-7 business days to the original payment method.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall OpyTuch, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Software
• Any conduct or content of any third party on the Software
• Any trading losses or other financial losses incurred as a result of using the Software
• Any unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claim arising from or relating to these Terms or the Software shall not exceed the amount you paid for the Software.

8. Indemnification

You agree to defend, indemnify, and hold harmless OpyTuch, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Software.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Software shall be finally settled by arbitration in London, United Kingdom, in accordance with the rules of the London Court of International Arbitration. The language of arbitration shall be English.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The most current version will be posted on our website with the effective date. By continuing to access or use our Software after any revisions become effective, you agree to be bound by the revised Terms.
